Covredge Terms of Service

Covredge Management Consultancy Service, doing business under the name "Covredge," is a duly registered consultancy under the Department of Trade and Industry (DTI) with registration number 6965625 and licensed by the Insurance Commission of the Philippines under License No. 4457541-0080577-400013. Covredge is represented by George Miguel DJ Winternitz IV.

These Terms of Service ("Terms") govern your use of Covredge's consultancy and design services for insurance programs ("Services"). By engaging with Covredge, you agree to these Terms.

1. Scope of Services

Covredge provides advisory, strategy, and product design services related to insurance programs. These services may include:

• Insurance program structuring and design
• Distribution strategy and product positioning
• Risk advisory and compliance consulting
• Collaboration with licensed insurance entities for product implementation

Covredge does not underwrite, or issue insurance policies directly.

2. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information necessary for Covredge to perform its services.
• Use Covredge's deliverables and recommendations in compliance with applicable laws and regulations.
• Be responsible for any legal or business decisions based on Covredge's advisory materials.

3. Fees and Payment Terms

Fees are agreed upon before engagement and outlined in a proposal or engagement letter. Payments are due based on the agreed schedule. Late payments may result in suspension of services.

4. Confidentiality

Both parties shall keep all proprietary or confidential information exchanged under this engagement confidential, except where disclosure is required by law or with prior written consent.

5. Intellectual Property

All reports, designs, and concepts developed by Covredge remain its intellectual property until full payment is received. Clients are granted a non-exclusive, non-transferable right to use deliverables solely for their internal business purposes.

6. Limitation of Liability

Covredge provides advisory recommendations based on available information and industry standards. Covredge will not be liable for any indirect, incidental, or consequential damages arising from the use of its services or deliverables.

7. Regulatory Compliance

Covredge complies with Philippine laws governing consultancy services and insurance regulations under the Insurance Commission. Clients remain responsible for securing any additional regulatory approvals required for their business models.

8. Termination

Either party may terminate the engagement with written notice. The client will be responsible for payment of all fees for work completed up to the termination date.

9. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from this agreement shall be subject to the exclusive jurisdiction of the proper courts of Muntinlupa City.
